1. Definitions

In these Terms & Conditions, unless the context otherwise requires:

  1. "Customer Data" means all electronic data, records, video footage, or information submitted by you to the Services.
  2. "Documentation" means any written online documentation, manuals, or guides for the Services published by TetherX.
  3. "Hardware" means any physical equipment supplied by TetherX, including TetherBox devices and accessories.
  4. "Malicious Code" means code, files, scripts, agents, or programs intended to do harm, including viruses, worms, time bombs, and Trojan horses.
  5. "Services" means the TetherX cloud-based video management, security monitoring, and related services.
  6. "Subscription Term" means your subscription period for the Services as agreed with TetherX or an authorised reseller.

2. General Terms

This website is operated by TetherX Limited. By using this site or any TetherX products, services, or software, you accept these terms and conditions in full.

  1. Any person who does not accept these terms is not authorised to use this site or our services.
  2. These terms apply to each visit to this site and to any use of TetherX products, services, or software.
  3. TetherX reserves the right to modify these terms at any time with 14 days' written notice. Continued use constitutes acceptance.
  4. Where you do not wish to accept modified terms, you may terminate by written notice within 30 days, subject to payment of all accrued charges.

3. Software and Service Licence

Subject to these terms, TetherX grants you a limited, non-exclusive, non-transferable, revocable licence to access and use our software and services.

  1. The software and services are provided on a subscription basis. Your licence is valid only for the duration of your active subscription.
  2. You may not sublicense, sell, resell, transfer, assign, distribute, or otherwise commercially exploit the services or software.
  3. You may not modify, copy, or create derivative works based on the software, services, or any related technology.
  4. You may not reverse engineer, disassemble, decompile, or attempt to derive the source code of the software.
  5. All intellectual property rights in the software and services remain the exclusive property of TetherX Limited.

4. Customer Data Ownership

  1. As between TetherX and you, you exclusively own all rights, title, and interest in and to all Customer Data.
  2. You grant TetherX a worldwide licence to host, copy, transmit, access, use, and display your Customer Data solely as necessary to provide the Services.
  3. TetherX may anonymise and aggregate Customer Data (excluding video footage) for service improvement and analytics purposes.
  4. TetherX will not view your video data except: (i) with your express permission for technical support; or (ii) as required by law.

5. Service Availability and Maintenance

TetherX endeavours to provide reliable services but makes no guarantees regarding availability, uptime, or uninterrupted access.

  1. Services are provided on an "as is" and "as available" basis. TetherX does not warrant that services will be uninterrupted, timely, secure, or error-free.
  2. TetherX may perform scheduled maintenance with at least 24 hours' notice where practicable. Notice may be provided through the Services or by email.
  3. TetherX may perform emergency maintenance without notice where necessary to preserve service integrity or security.
  4. TetherX is not responsible for delays, failures, or losses resulting from data transfer over communications networks, including the Internet.
  5. You acknowledge that Internet connectivity is required for cloud-based services and TetherX has no control over third-party infrastructure.

6. Hardware and Equipment

  1. TetherBox devices come with a 24-month warranty from activation against defects in materials and workmanship under normal use.
  2. Warranty does not cover: damage from improper handling or packaging during shipping; misuse, neglect, or accident; unauthorised modifications; damage from power surges or incorrect mains voltage; improper ventilation; or normal wear and tear.
  3. Repairs outside the warranty period may be chargeable. For warranty claims, contact support to start the RMA (Return Materials Authorisation) process.
  4. TetherX is not responsible for failure of third-party equipment, cameras, hardware, or software integrated with the Services.
  5. TetherX does not warrant that the Services will be compatible with any specific third-party equipment.
  6. You are responsible for ensuring proper installation, ventilation, and power supply for all Hardware.

7. Data and Storage

You are solely responsible for maintaining appropriate backups and security measures for your data.

  1. TetherX shall not be liable for any loss, corruption, or destruction of data, regardless of cause, including hardware failure, software failure, human error, cyber attacks, or natural disasters.
  2. While TetherX implements reasonable security measures, no system is completely secure. TetherX does not guarantee the security of any data.
  3. You acknowledge that video and security data may be lost due to equipment malfunction, network issues, storage limitations, or other factors beyond TetherX's control.
  4. TetherX recommends maintaining independent backup systems for critical data. Reliance solely on TetherX for data preservation is at your own risk.

8. Data Processing

Where TetherX processes personal data on your behalf, such processing is governed by our Data Processing Agreement.

  1. You remain the data controller for all personal data processed through TetherX services, including video surveillance and security system data.
  2. You are solely responsible for ensuring compliance with all applicable data protection laws, including obtaining necessary consents and providing required notices.
  3. TetherX shall not be liable for any data protection violations arising from your configuration, use, or misuse of the services.
  4. You shall indemnify TetherX against any claims, losses, or damages arising from your breach of data protection obligations.

9. Charges and Payment

  1. All charges are as set out in your agreement with TetherX or an authorised reseller and are payable in accordance with agreed payment terms.
  2. TetherX may revise charges upon 14 days' written notice. Revised charges take effect 14 days after notice.
  3. All amounts are exclusive of VAT and other applicable taxes, which will be charged at the prevailing rate.
  4. Late payments may incur interest at 2% above the Bank of England base rate.
  5. TetherX may suspend services for non-payment without liability.

10. Security

  1. TetherX may monitor network traffic to identify unauthorised attempts to access or damage the site or services. Use of this site constitutes consent to such monitoring.
  2. Unauthorised attempts to access, modify, or damage systems, circumvent security features, probe for vulnerabilities, or mount denial of service attacks are prohibited and may result in criminal prosecution.
  3. TetherX warrants that the Services will not introduce Malicious Code into your systems.
  4. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

11. Acceptable Use

  1. You shall not use the services for any illegal, harmful, or objectionable purpose.
  2. You shall not use the services to violate privacy rights or conduct surveillance prohibited by law.
  3. You shall not attempt to gain unauthorised access to any systems, networks, or data.
  4. You shall not transmit any viruses, malware, or malicious code through the services.
  5. You shall not use the services in any manner that could damage, disable, overburden, or impair TetherX systems.
  6. TetherX reserves the right to suspend or terminate your access for any violation.

12. Limitation of Liability

To the maximum extent permitted by applicable law:

  1. TetherX shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses.
  2. TetherX shall not be liable for: (i) your use or inability to use the services; (ii) unauthorised access to our servers or data; (iii) interruption of services; (iv) bugs, viruses, or harmful code; (v) errors in content; (vi) loss or damage from your use of the services.
  3. TetherX's total liability for all claims shall not exceed the amount paid by you in the twelve (12) months preceding the claim.
  4. These limitations apply regardless of the form of action, whether in contract, tort, negligence, strict liability, or otherwise.
  5. Nothing in this Agreement excludes liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

13. Disclaimer of Warranties

  1. The services are provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
  2. TetherX does not warrant that services will meet your requirements, achieve intended results, be compatible with other systems, be accurate, reliable, or error-free, or that defects will be corrected.
  3. TetherX makes no warranty regarding the quality, accuracy, timeliness, completeness, or reliability of any content obtained through the services.
  4. No advice or information obtained from TetherX shall create any warranty not expressly stated herein.

14. Indemnification

You agree to defend, indemnify, and hold harmless TetherX Limited, its directors, officers, employees, agents, licensors, and service providers from any claims, liabilities, damages, losses, costs, or expenses arising from:

  1. Your violation of these terms and conditions
  2. Your use of the services, including any data transmitted or received
  3. Your violation of any third-party rights, including privacy, publicity, or intellectual property rights
  4. Your violation of any applicable laws or regulations, including data protection laws
  5. Any content submitted via your account
  6. Any claims related to security surveillance conducted using TetherX services

15. Termination and Data Export

  1. TetherX may terminate or suspend your access immediately, without prior notice or liability, for any breach of these terms or non-payment.
  2. Upon termination, your right to use the services will immediately cease.
  3. Upon request within 30 days after termination, TetherX will make Customer Data available for download in a standard format at TetherX's then-current charges.
  4. After the 30-day period, TetherX may delete all Customer Data and shall have no obligation to retain or provide access to any data.
  5. All provisions which by nature should survive termination shall survive, including ownership, warranties, indemnity, and liability limitations.

16. Confidentiality

  1. Each party shall keep confidential all information of a confidential nature received from the other party, including pricing, trade secrets, and technical information.
  2. Confidential information may be disclosed: (i) to employees or advisors who need to know; (ii) as required by law; or (iii) with the other party's written consent.
  3. Customer Data is deemed confidential information. TetherX will not share Customer Data except as necessary to provide the services or as required by law.
  4. These confidentiality obligations shall survive termination of this Agreement.

17. Force Majeure

TetherX shall not be liable for any failure or delay resulting from circumstances beyond reasonable control, including:

  1. Acts of God, natural disasters, earthquakes, floods, fire, or extreme weather
  2. War, terrorism, civil unrest, or government actions
  3. Epidemics, pandemics, or public health emergencies
  4. Power outages, Internet or telecommunications failures
  5. Cyber attacks, hacking, or malicious interference
  6. Third-party service provider failures, including cloud hosting providers
  7. Strikes, labour disputes, or supply chain disruptions

18. Third-Party Services and Equipment

  1. TetherX services may integrate with third-party services, hardware, or software. TetherX is not responsible for their availability, reliability, or performance.
  2. TetherX does not endorse and is not responsible for any third-party content, products, or services.
  3. Your use of third-party services is subject to those third parties' terms and conditions.

19. Intellectual Property and IP Infringement

  1. All content, software, documentation, and materials are the property of TetherX Limited unless stated otherwise.
  2. No user may copy, modify, publish, transmit, sell, reproduce, or exploit any content without TetherX's express written agreement.
  3. TetherX will defend you against claims that the Services infringe third-party intellectual property rights, provided you: (i) notify TetherX promptly; (ii) allow TetherX to control the defence; and (iii) cooperate fully. This does not apply to infringement arising from your modifications or misuse.

20. Anti-Bribery and Export Control

  1. You represent that you have not received or been offered any illegal or improper bribe, kickback, payment, gift, or thing of value from TetherX employees or agents. Reasonable gifts and entertainment in the ordinary course of business do not violate this restriction.
  2. The Services may be subject to export laws and regulations of the United Kingdom and other jurisdictions. You shall not access or use the Services in violation of any export law or regulation.
  3. You represent that you are not named on any UK, EU, US, or UN sanctions list or located in a sanctioned country.

21. Assignment

  1. You may not assign or transfer this Agreement or any rights without TetherX's prior written consent, except to a successor in connection with a merger or sale of substantially all assets, provided such successor is not a direct competitor.
  2. TetherX may assign this Agreement to any affiliate or successor without your consent.
  3. Any attempted assignment in violation of this section shall be void.

22. Rights of Third Parties

A person who is not a party to this Agreement has no right under the Contracts (Rights of Third Parties) Act 1999 to rely upon or enforce any term of this Agreement.

23. Notices

  1. TetherX may provide notice by posting to the website, through the Services, or by email to your registered address.
  2. Notices to TetherX must be sent by email to legal@tetherx.io or by post to: TetherX Limited, 124 City Road, London, EC1V 2NX, United Kingdom.
  3. Notices are effective upon receipt for email and hand delivery, or 2 business days after posting for mail within the UK.

24. Severability and Waiver

  1. If any term is held void, invalid, or unenforceable, it shall be modified to the minimum extent necessary and remaining terms shall continue in full force.
  2. No waiver of any right or provision shall operate as a waiver of any other right or of the same right at a future time.

25. Entire Agreement

These terms, together with any applicable service agreements, Data Processing Agreement, and our Privacy Policy, constitute the entire agreement between you and TetherX and supersede all prior agreements, representations, and understandings.

26. Governing Law

These terms shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction over any dispute arising from this Agreement.
